This has reference to our letter dated 28th December, 2018 enclosing a copy of the Postal Ballot Notice dated 20th December,2018 together with the Explanatory Statement thereto, seeking approval of the Members for entering into material related party transactions with ITC Limited during the financial years 2018-19 and 2019-20. We write to advise that the Ordinary Resolution, as stated above, has been passed by the Members by requisite majority. The Voting Results, in the prescribed format as required under Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, are enclosed.
