we wish to inform you that the Board of Directors at its meeting held today, commenced at 12.45 p.m. and concluded at 01.20 p.m., has, inter-alia, considered the following: 1.Approved and taken on record the Un-audited Financial Results (Standalone and Consolidated) of the Company for the quarter ended June 30, 2018.The said results for the quarter ended June 30, 2018 together with Limited Review Reports of the Statutory Auditors are enclosed herewith. 2.Approved to dispose/transfer 15,30,000 equity shares of Rs. 10/- each of Soriso Ceramic Private Limited (Soriso), a subsidiary company, held by the Company at an aggregate consideration upto Rs. 1100 Lacs, subject to applicable laws. Consequent upon the completion of disposal/transfer of the above said shares, Soriso shall cease to be a subsidiary of the Company. 3.Investors Release dated July 24, 2018 specifying the summary of financial performance and other developments for the quarter ended June 30, 2018.
